Terms of Service

Short version. You own your notes. I do not sell them or use them for ads. I will not read your private documents unless you ask me to help, or the law requires it. I will not use your notes to train AI models.

These terms are the agreement between you and Luke Netti LLC for using Shepherd Docs on shepherddocs.com and app.shepherddocs.com. I am Luke Netti. The Privacy Policy is part of this agreement. If you do not agree, do not use the product. Creating an account or using the product means you accept these terms.

Questions go to luke@shepherddocs.com.

1. Your notes

You own what you write. I do not claim your sermons, study notes, imports, or anything else you put in Shepherd. You can bring documents in as .txt, .md, or .docx, and you can export Markdown.

To run the product for you, you give Luke Netti LLC a license to host, store, back up, and display your notes. That license is only for operating Shepherd for you. It is not a right to sell your notes, show them to other customers, or use them for ads.

You are responsible for your notes. You confirm you have the right to put them in Shepherd, and that they do not break the law or someone else's rights.

Do not upload material you do not have the right to use.

AI

Shepherd does not write your notes with AI. I do not use your notes, and I do not let service providers use your notes, to train, fine-tune, or improve an AI or machine learning model. If I add AI later, it would be to help you find things in notes you already wrote, not to put words on the page. If that plan changes, this page will change first.

2. The product

Shepherd is a writing app for organizing study around Scripture. It runs in the browser at app.shepherddocs.com. There is no separate mobile or desktop app.

I work hard to keep it up. I do not promise it will be up every minute, or that it will fit every workflow. Features can change. I will not delete your library on a whim. You can export all your notes from the product at any time. If I ever have to shut the product down, that export will still be there so you can take everything with you.

3. Trial

Every new account starts with a 30-day free trial. No credit card is required to start. If you want to keep using Shepherd after the trial, you pay. If you do not pay, access to the paid product ends when the trial ends.

I can change or end a trial offer. I will not yank a trial you already started without a reason tied to these terms or the law.

4. Paid plans

After the trial, Shepherd is $10 a month or $99 a year, unless I post a different price. Paid plans renew at the end of the month or the year unless you cancel before the renewal.

A payment processor handles the charge. You authorize that processor to bill the payment method you add for each renewal until you cancel.

I can change the price for later billing periods. I will give you notice before the new amount is charged so you can cancel. Keeping the plan after that notice means you accept the new price.

Paid time already used is not refunded unless I say otherwise, or the law requires it. If a charge looks wrong, email me and I will look at it.

5. Your account

You need an account to use the product. Keep your password to yourself. You are responsible for what happens on your account, except to the extent I caused it. Tell me right away if you think someone else got in.

You must be old enough to form a contract where you live. Do not use Shepherd if you are under 13, or an older age if your local law requires it.

6. Copyright

I respect other people's copyrights and I expect you to do the same. If you believe your work is in Shepherd in a way that infringes your rights, email luke@shepherddocs.com with:

  • Where the material is, as specifically as you can
  • A description of the work you say was infringed
  • A statement that you have a good-faith belief the use is not authorized
  • A statement that the notice is accurate, and that you are the owner or authorized to act, made under penalty of perjury
  • Your name, address, phone, and email
  • Your electronic signature

I will look at complete notices and take action when I should.

7. What you may not do

Unless the law says you can, or I give you written permission, do not:

  • Put notes in Shepherd that you have no right to use, or that break the law
  • Try to break, overload, or disrupt the product, or get into someone else's account
  • Copy, reverse engineer, or strip the product down to reuse it
  • Scrape, mine, or harvest the product with bots or by hand in a way I did not offer
  • Upload malware or anything meant to harm the service or other people
  • Use Shepherd to send spam or to harass anyone
  • Remove marks or notices that belong to Shepherd

I can remove notes if I have reasonable grounds to think they are unlawful or harmful.

8. Shepherd's intellectual property

The product, the website, the name, and the design are mine, excluding your notes. You may not use the Shepherd name or look on another product without my written permission.

9. Feedback

If you send ideas or suggestions, I can use them without paying you and without treating them as confidential. You are not owed credit or a cut.

10. Other websites

The product and this site may link out. I do not control those sites. I am not responsible for their content or what happens if you use them.

11. Suspension and closing an account

I can limit, suspend, or close an account if you break these terms, if the product has to change or shut down, or if there is a security or technical problem.

If I close an account, I will try to give at least 30 days' notice at the email on the account so you can export your notes, unless the law says I cannot, or I have to act faster because of abuse or a security issue. After that window, you may not be able to get the notes from me.

You can stop paying and stop using the product. If you want the account and notes removed, email me.

12. If your use causes a claim

You will defend and cover Luke Netti LLC, and me, for claims that come from your use of the product, your notes, or your breaking these terms, including reasonable legal fees.

13. Warranty and liability

Shepherd is provided as is and as available. I do not promise it will meet your needs, stay up, stay error-free, or keep every note forever. Using it is at your own risk. Advice I give, including by email, does not create a warranty I did not write here.

To the extent the law allows, I am not liable for lost notes, lost sermons, lost profits, or other indirect or consequential damages. My total liability for any claim tied to these terms or the product is limited to what you paid Luke Netti LLC in the 12 months before the claim, or $100 if you have not paid anything (for example, during a trial).

Nothing here limits liability that the law does not let me limit, including death or personal injury caused by negligence, or fraud. Some places do not allow these limits. In those places, the limit is the minimum the law allows.

14. Governing law

These terms are governed by the laws of the state where Luke Netti LLC is organized, without regard to conflict-of-law rules, except where your local law gives you protections I cannot take away.

15. Other

If I do not enforce a part of these terms, I can still enforce it later.

If a court strikes one part, the rest still applies. These terms are the whole agreement for your use of the product. They replace any earlier terms about that use.

16. Changes

I can update these terms when the product, the law, or how I run things changes. The date at the top will change. If a change is material, I will email you when I can. Keeping the account after that means you accept the new terms. If you do not accept them, stop using the product and cancel. Paid users can email me to cancel.
